Julius M. Musoke
Managing Partner
Julius M. Musoke is the managing partner of the firm. He has previously worked at other law firms in Uganda and as Principal Counsel at the African Development Bank. He has worked on several challenging (first-of-a-kind) transactions including the first IPP and PPP projects in Uganda and elsewhere as well as the first pan-African satellite project and other technology & telecom, oil & gas, railway, mining, road construction, aviation, hotel, hospital, and real estate development projects.
He has extensively negotiated concession agreements, mining leases, supply and off-take contracts, tolling agreements, interface agreements and diverse construction contracts.
Julius is regularly called upon to advise clients on legal and regulatory aspects of their commercial activities as well as capital markets transactions in Uganda. He also regularly acts for clients in high-profile mergers and acquisition transactions in highly regulated sectors. He has among others acted for Bharti Airtel in its acquisition of Warid Telecom; 8 Miles LLP in its acquisition of Orient Bank; Guaranty Trust Bank in its acquisition of Fina Bank; and Cipla Limited and Cipla EU on the acquisition of Quality Chemicals Limited and on the listing of Cipla’s Ugandan subsidiary in Uganda.
Julius holds an LLB (Honours) degree from Makerere University, an LL.M degree from the London School of Economics and Political Science and a Diploma in Legal Practice from the Law Development Centre.
Diana Ninsima Kibuuka
Partner
Diana Ninsima Kibuuka is a Partner at the Firm. Her primary areas of practise include corporate & commercial law, mergers & acquisitions, restructuring, insolvency, tax, investment law and banking & finance. Diana has previously worked at other law firms in Uganda as associate and partner. Under the International Lawyers of Africa Program, Diana was seconded to the mergers and acquisitions department of Slaughter & May LLP and to the London offices of Diageo P.L.C. She has also previously worked under placement at Uganda Breweries Ltd, a subsidiary of Diageo P.L.C.
Diana’s experience includes advising ClassM France on its acquisition of Pure Grow Africa, EFC (U) Limited MDI on its establishment as a deposit taking microfinance institution, Kenya Commercial Bank on its establishment and licensing in Uganda, Turkish Airlines on its establishment in Uganda among others.
She has also advised several multinational corporations and non-governmental organisations on transactions and operations in Uganda including School For Life Foundation Australia, Global Health Corps, One Acre Fund, Uber Inc, Google Ireland, Renault Group and Flour Inc, a US oil & gas contractor.
Diana is also regularly involved in advising clients involved in the voluntary and involuntary winding up of operations Uganda. She has also acted in a number of high-profile insolvency law matters including in the winding up of Imperial Finance Bank Uganda Ltd as well and acting for Nedbank Limited as the secured creditor in the administration and insolvency of Afrimax Uganda Limited t/a Vodafone Uganda.
Diana holds an LLB (Honours) degree from Makerere University, an LL.M degree from the University of Cambridge (Wolfson College), a Diploma in Legal Practice from the Law Development Centre and a Post-Graduate Diploma in Taxation from the East African School of Taxation. She has served on boards of directors of several companies including one of the financial institutions in Uganda.
Karoli Ssemogerere
Partner
Karoli is a Partner at the Firm. His primary areas of practice include litigation and arbitration, corporate law, capital markets, tax, property law, trusts, public law and regulation. Karoli has previously worked at other law firms in Uganda and the USA and as a private consultant to various authorities including the Uganda Communications Commission, Financial Intelligence Authority and various government ministries including the Ministry of Water and Environment.
Karoli has been engaged on several occasion to support the drafting of legislation, regulations and policies used in various sectors including telecommunications, natural resources, financial services and technology. Among others, helped produce over 19 regulations for the implementation of reforms in the telecom sector, drafted instruments for implementation of the Uganda Communications Universal Service Access Fund and assisted the Government of Uganda in the drafting and formulation of the National Broadband Strategy that has shaped developments in the telecom sector.
Karoli regularly represents clients in Ugandan and foreign litigation and arbitration, including appearance before the United States Tax Court and other specialised courts and tribunals in the USA. He has advised clients on tax structuring, securities and capital markets transactions and acted for Airtel Uganda Ltd in the issuance of required regulatory advice and opinions for its IPO and listing on the Uganda Securities Exchange.
Karoli holds a Bachelor of Laws degree from Makerere University, Master of Laws degree from Harvard University, MA Government & Public Affairs from Johns Hopkins University and a Diploma in Legal Practice from the Law Development Centre. He is admitted to the bar in Uganda, New York and the US tax court.
